1. Acceptance and Legal Owner
These Terms of Use are entered into between you and TaxDecoders LLC, doing business as TaxDecoders ("TaxDecoders," "we," "us," or "our"). These Terms and the Privacy Policy govern access to taxdecoders.com and its content, forms, functionality, and services (the "Website").
By using the Website, or by affirmatively accepting these Terms where requested, you agree to them. If you do not agree, do not use the Website. Material dispute-resolution changes will not apply retroactively to disputes of which the parties had actual notice before the change.
The Website is intended for persons at least 18 years old who are legally capable of forming a binding contract. It is not directed to children.
2. Scope of U.S. Tax Services
TaxDecoders is a U.S. tax resolution and representation practice led by Sonya D. Bright, an Enrolled Agent authorized to practice before the Internal Revenue Service. TaxDecoders may serve eligible U.S. taxpayers and other persons with U.S. tax obligations who are located in the United States or abroad.
Services are limited to U.S. federal tax matters and applicable U.S. state tax matters described in a signed engagement agreement. TaxDecoders does not provide foreign-country tax, legal, immigration, investment, or financial advice unless a signed engagement agreement expressly states otherwise and TaxDecoders is legally authorized to provide that service.
Website content is general information, not personalized tax, legal, accounting, financial, immigration, or investment advice. No professional relationship is created by visiting the Website, submitting a form, applying for services, attending a consultation or preliminary discussion, or sending information. A client relationship begins only after TaxDecoders accepts a written engagement agreement and any required initial payment is made.
No result is guaranteed. Eligibility, timing, tax reductions, collection alternatives, refunds, penalty relief, and governmental action depend on individual facts and agency decisions. Penalties and interest may continue to accrue. TaxDecoders is a private practice and is not affiliated with the IRS or any taxing authority.
3. International Access and Eligibility
TaxDecoders is based in Texas, United States. Access from another country does not mean TaxDecoders offers or is licensed to provide that country's professional services. You are responsible for laws applicable to you in your location. We may decline or discontinue an engagement when licensing, sanctions, export controls, payment processing, identity verification, security, privacy, conflict, competency, or professional obligations prevent service.
Fees are stated and payable in U.S. dollars unless a written agreement says otherwise. You are responsible for currency conversion, intermediary bank, international transfer, and similar charges imposed by third parties.
4. Changes and Website Availability
We may update these Terms prospectively by posting a revised version and effective date. When legally required, we will provide additional notice or obtain renewed acceptance. We may change, suspend, restrict, or discontinue Website features. We do not guarantee uninterrupted availability.
5. Accounts and Accurate Information
Information you provide must be accurate, current, complete, and yours to provide. Keep credentials confidential and notify us promptly at Sonya@taxdecoders.com or 832-450-7785 of suspected unauthorized use. We may disable credentials or access when reasonably necessary to protect users, TaxDecoders, or the Website.
6. Secure Documents
Do not send Social Security numbers, tax returns, tax notices, financial statements, identification documents, or other sensitive information through a general website form, ordinary text message, or unencrypted email. Use the designated secure portal at secure client portal or another secure method we authorize. Third-party portals are also governed by their own terms and privacy practices.
7. Intellectual Property
Website content, design, text, graphics, branding, and functionality are owned by TaxDecoders or their respective licensors and protected by applicable intellectual-property laws. You may view and print a reasonable number of pages for personal, noncommercial use and retain documents provided for your records. You may not republish, sell, scrape, systematically extract, commercially exploit, remove notices from, or create misleading derivative uses of Website content without written permission. TaxDecoders names, logos, service names, and slogans may not be used in a manner suggesting endorsement or affiliation without permission.
8. Prohibited Uses and Submissions
You may not use the Website unlawfully; interfere with security or operation; introduce harmful code; attempt unauthorized access; impersonate another person; submit deceptive, defamatory, abusive, infringing, or unlawful material; scrape or monitor the Website in a manner that burdens it or violates law; or use content to train or operate a commercial automated system without written permission. Materials you submit must be accurate to the best of your knowledge and you must have authority to provide them.
9. Communications
Transactional communications. By requesting information, booking an appointment, beginning an application, engaging services, or providing contact information, you authorize communications reasonably necessary to respond to your request and administer the resulting relationship, including appointment, portal, signature, payment, security, and case-related notices. These are separate from marketing consent.
Marketing communications. Marketing emails, automated marketing texts, calls using regulated automated technology, and artificial or prerecorded voice marketing messages will be sent only when permitted by law and, when required, after separate conspicuous consent. Marketing consent is not required to purchase services. Message and data rates may apply.
You may revoke marketing consent at any time by any reasonable method that clearly communicates your request, including replying STOP to a text, using an email unsubscribe link, emailing Sonya@taxdecoders.com, or calling 832-450-7785. Operational messages permitted or required by law may continue. Commercial email opt-outs will be honored within the legally required period.
Recording. We may record calls or video communications where permitted by law. When required, we will provide notice and obtain consent before recording begins. Tell us before continuing if you do not wish to be recorded.
10. Third Parties and Information
Website information may be incomplete, outdated, or contain errors. Verify information before acting. Links and embedded services are provided for convenience; we do not control third-party content, availability, security, or privacy. A link does not imply endorsement.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TAXDECODERS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE ACCURATE, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED REMAIN UNAFFECTED.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TAXDECODERS AND ITS SERVICE PROVIDERS, PERSONNEL, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM WEBSITE USE, INCLUDING LOSS OF DATA, REVENUE, PROFITS, BUSINESS, OR GOODWILL. THIS SECTION APPLIES ONLY TO WEBSITE USE AND DOES NOT ALTER A SIGNED PROFESSIONAL-SERVICES AGREEMENT. IT DOES NOT EXCLUDE LIABILITY THAT LAW PROHIBITS US FROM EXCLUDING.
13. Limited Indemnification
You agree to indemnify TaxDecoders from third-party claims, losses, and reasonable costs caused by your fraudulent or unlawful use of the Website, material violation of these Terms, infringement through content you submit, or unauthorized commercial exploitation of Website content. This obligation does not cover claims caused by TaxDecoders' own negligence, unlawful conduct, security failure, or willful misconduct to the extent such exclusion is prohibited or required by law.
14. Governing Law
Texas law governs these Terms without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement. Mandatory consumer protections of your place of residence remain applicable when they cannot lawfully be waived.
15. Informal Resolution and Arbitration
Before arbitration, the claimant must send a written notice describing the claim and requested relief to TaxDecoders, PO Box 793, Baytown, Texas 77522-0793, or to the user at the latest address provided. The parties will have 60 days to attempt resolution.
Except for an eligible individual small-claims action or a claim that law prohibits from arbitration, disputes arising from the Website or these Terms will be resolved by individual binding arbitration before one neutral arbitrator administered by the American Arbitration Association under its then-current Consumer Arbitration Rules. Rules and filing information are available at adr.org. Arbitration may occur by video, in Harris County, Texas, or in the consumer's county of residence, as the applicable rules and law permit. Fees will be allocated under those rules and applicable law. The arbitrator may award any individual remedy available in court and will issue a reasoned written decision.
Claims may be brought only individually, not as a class, consolidated, collective, or representative action, to the extent permitted by law. Each party waives jury trial for arbitrable claims. If the individual-action requirement cannot be enforced for a particular claim, only that claim will proceed in a court with jurisdiction. Either party may bring an individual qualifying claim in small claims court.
Arbitration opt-out. You may opt out of this arbitration agreement by mailing a signed notice to the address above within 30 days after first affirmatively accepting these Terms. Include your name, contact information, and a clear statement that you opt out. Opting out will not affect access to services. This arbitration section survives termination.
16. Time to Bring Claims
To the extent permitted by law, a Website-related claim must be commenced within one year after it accrues. This limitation does not apply where law prohibits shortening the applicable limitation period or provides a nonwaivable period.
17. General Terms
Failure to enforce a provision is not a waiver. Invalid provisions will be limited or severed to the minimum extent necessary. These Terms and the Privacy Policy are the entire agreement concerning Website use. Professional services are governed by a separate engagement agreement. If translated, the English version controls to the extent permitted by law.
